General Counsel & Vice President of Legal Affairs
Our client is seeking an experienced, business-minded attorney to serve as General Counsel and Vice President of Legal Affairs. This executive will serve as the primary legal advisor to the company and a strategic advisor to the CEO/COO, family ownership group, Board of Directors, and executive leadership team. The role is responsible for managing all legal affairs, protecting the company's assets and reputation, mitigating enterprise risk, ensuring regulatory compliance, supporting international growth initiatives, and overseeing corporate governance. The General Counsel will provide legal leadership across transportation, warehousing, reverse logistics, intellectual property, international trade, employment matters, real estate, mergers and acquisitions, contracts, litigation, banking, and corporate governance. This executive must balance legal risk with commercial objectives while supporting the entrepreneurial culture of a privately held, family-owned organization. This highly visible leadership position reports directly to the COO.
Key Responsibilities
- Serve as the principal legal advisor to the company, Board of Directors, and family ownership group.
- Provide legal counsel, opinions, and interpretations to executive leadership, management, and staff.
- Oversee all corporate legal matters, including customer and vendor contracts, real estate transactions, commercial agreements, intellectual property, employment and labor matters, and litigation.
- Ensure compliance with applicable local, state, federal, and international laws and regulations.
- Draft, review, negotiate, and manage contracts, leases, customer agreements, and vendor agreements.
- Develop and execute enterprise risk management strategies to protect the organization from legal and regulatory exposure.
- Partner with key stakeholders to develop and implement internal policies, procedures, and governance initiatives.
- Manage litigation involving the organization and oversee relationships with outside legal counsel.
- Lead the legal department, manage departmental budgets, and establish long-term legal strategy.
- Support the preparation of Board and committee materials.
- Partner with Human Resources on domestic and international employment matters, including employment law, wage and hour compliance, workplace investigations, workforce reductions, and employee benefits governance.
- Support global leasing, acquisitions, dispositions, development projects, and facility expansion initiatives.
- Support the client's intellectual property and patent strategy.
- Advise Information Technology leadership on data privacy, cybersecurity, and artificial intelligence governance.
- Broad legal expertise supporting large commercial enterprises, preferably within technical or operationally complex industries.
- Demonstrated ability to develop and implement legal strategies that minimize risk while supporting business objectives.
- Exceptional judgment, integrity, ethics, and business acumen.
- Strong leadership, interpersonal, negotiation, and communication skills.
- Experience leading and developing in-house legal teams while effectively managing outside counsel.
- Juris Doctor (J.D.) degree from an American Bar Association-accredited law school.
- Active license to practice law in the Commonwealth of Pennsylvania.
- Minimum of 10 years of progressive legal experience directly related to corporate legal leadership responsibilities.
- Proven experience managing a corporate legal department within budget.
- Experience advising executive leadership teams, family-owned businesses, and Boards of Directors.
- Industry experience in logistics, transportation, supply chain, manufacturing, distribution, or technology-enabled services is strongly preferred.
Estimated Min Rate: $245000.00
Estimated Max Rate: $350000.00
